Terms of Use

These Terms of Use (“Agreement”) govern your use of Prism, a software product developed and licensed by Lancaster Solutions LLC (“we,” “our,” or “us”). By installing, accessing, or using Prism or any related services or materials, you (“you” or “User”) agree to be legally bound by these Terms.

1. License and Use Rights

We grant you a limited, non-transferable, non-sublicensable, non-exclusive, and revocable license to use Prism on a supported device for personal or commercial use, subject to your compliance with this Agreement.

You agree not to:

  • Modify, reverse engineer, or disassemble the software

  • Distribute, resell, rent, or lease the software

  • Use Prism for any unlawful or unauthorized purpose

We reserve all rights not expressly granted herein.

2. Subscription and Billing

Access to Prism may require a recurring paid subscription. By subscribing, you authorize us to charge the applicable monthly fee using your preferred payment method.

You are responsible for:

  • Keeping your billing information current

  • Canceling your subscription before renewal to avoid further charges

Subscription fees are billed in advance and renew automatically unless canceled.

3. No Refund Policy

All sales and subscriptions are final and non-refundable. By completing your purchase or subscribing, you acknowledge and agree:

  • That Prism is delivered digitally and/or by download

  • That once access is granted or software is downloaded, no refund will be issued

  • That we do not provide pro-rata refunds for mid-cycle cancellations or unused time

Exceptions will only be considered if required by applicable law.

4. User Data and Privacy

Prism runs locally by design. We do not access, collect, or store your audit content or private data unless you explicitly opt in. For more, see our Privacy Policy.

You are responsible for:

  • The integrity and backup of your own data

  • Managing third-party API keys or services linked to Prism

5. Updates and Availability

We may provide software updates periodically. You agree:

  • To install updates promptly to maintain security and functionality

  • That features may change over time or be deprecated

  • That access to our services may be interrupted for maintenance or upgrades

6. Termination and Enforcement

We may suspend or terminate your license immediately if you breach these terms. Upon termination:

  • All rights granted under this Agreement are revoked

  • You must cease use and uninstall Prism

We reserve the right to enforce our rights through legal remedies.

7. Disclaimer of Warranties

Prism is provided “AS IS” and “AS AVAILABLE.” We make no warranties or guarantees regarding:

  • The accuracy, reliability, or results of using the software

  • Suitability for any particular purpose

  • Uninterrupted or error-free operation

Use is at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, Lancaster Solutions LLC shall not be liable for:

  • Loss of revenue, profits, or business opportunities

  • Data loss or corruption

  • Indirect, incidental, or consequential damages

Our total liability will not exceed the amount paid by you in the twelve (12) months prior to the claim.

9. Governing Law and Venue

This Agreement shall be governed by the laws of the State of West Virginia. All disputes shall be resolved exclusively in the courts located in Hampshire County, West Virginia.

10. Modifications

We reserve the right to update or modify these Terms of Use at any time. Updates will take effect when posted online. Continued use of Prism after changes constitutes acceptance.
